Terms of Service

Plain-English summary

These Terms cover your use of Patnick's SEO platform. You get a 3-day free trial (card required), a 30-day money-back guarantee on all paid plans, and the right to cancel at any time. We never apply changes to your website without your approval. Questions? legal@patnick.com.

1. Agreement

These Terms of Service (“Terms”) form a binding agreement between Patnick(“Patnick”, “we”, “us”) and the person or company that creates a Patnick account (“you”, “Customer”). Patnick is a Finnish private limited company (osakeyhtiö / Oy) in the course of being registered with the Finnish Patent and Registration Office (PRH), with its registered address at Keltasafiirinpolku 1A 07, 01300 Vantaa, Finland.

By creating an account, clicking “I agree”, or using the service, you accept these Terms. If you are using Patnick on behalf of an organisation, you confirm you have authority to bind that organisation.

2. The service

Patnick is a subscription-based SaaS platform that:

  • Analyses your website across eight SEO dimensions.
  • Monitors your brand's visibility in AI-based search systems (ChatGPT, Claude, Gemini, and similar).
  • Generates structured data (schema), meta tags, canonical links and other technical-SEO artifacts.
  • Applies automated fixes to your website only after your explicit approval.
  • Integrates optionally with Google Search Console, Shopify, and WordPress.
  • Offers an optional Content Lab add-on for AI-assisted content generation (OpenAI-powered, reviewed by Patnick's editorial team — approximately 80% human curation).

3. Eligibility and accounts

  • You must be at least 18 years old and legally able to enter into a contract.
  • One account per person or organisation. You are responsible for everything that happens under your account.
  • Keep your credentials secure. Notify legal@patnick.com immediately if you suspect unauthorised access.
  • Patnick serves customers located in the United States and the European Union only. The service is offered in English only.

4. Free trial

  • New customers receive a 3-day free trial of the Core package.
  • A valid payment method is required to start the trial (Stripe SetupIntent). You are not charged during the trial.
  • You may cancel any time before the end of day 3. If you cancel, no charge is made and access ends at the close of the trial.
  • At the end of the trial, your subscription automatically converts to the plan you selected (Monthly or Annual).
  • The Content Lab add-on is not included in the trial. It is billed immediately upon opt-in.
  • One trial per customer, email address, and payment method.

5. Subscription, pricing and payment

Current plans and prices are published at patnick.com/pricing. Plans are:

  • Core — Monthly: USD 99 per month, recurring.
  • Core — Annual: USD 948 per year, recurring (20% saving vs. monthly).
  • Content Lab add-on: USD 49 per month or USD 470 per year.

Subscriptions renew automatically at the end of each billing period until cancelled. Stripe processes all payments. VAT, US state sales tax and other applicable taxes are calculated and collected at checkout by Stripe Tax.

Price changes.If we increase the price of a plan you are already subscribed to, we will give you at least 60 days' notice by email. You can cancel before the new price takes effect.

Failed payments. If a payment fails, we retry up to three times over seven days. If all retries fail, access is suspended. You can reactivate at any time by updating your payment method.

6. Cancellation and refunds

You can cancel any subscription from your account settings or via the Stripe Customer Portal. Cancellation takes effect at the end of the current billing period; you keep access until then.

Our full refund terms are in the Refund Policy. Summary:

  • 30-day money-back guarantee on all paid plans (Monthly and Annual).
  • Annual plan, after day 30: pro-rated refund for unused full months, minus a USD 29 processing fee.
  • Content Lab AI-generation credits already consumed are non-refundable.

7. Your content and your website

You retain all intellectual-property rights to your website, your content, and anything you upload to Patnick. You grant Patnick a limited, non-exclusive, worldwide licence to access, crawl, analyse and — only with your explicit approval for each change — modify your website and content, strictly for the purpose of delivering the service to you.

You own the output produced by Content Lab. OpenAI's usage policies apply to generated content; we pass them through.

8. Acceptable use

You agree not to:

  • Use Patnick on any website you do not own or are not expressly authorised to manage.
  • Engage in “black-hat” SEO: hidden text, cloaking, link schemes, deceptive redirects, PBNs, or other manipulative tactics.
  • Use Patnick to promote illegal activities, hate speech, adult content, firearms, or other prohibited content categories.
  • Infringe the intellectual property or privacy rights of any third party.
  • Reverse-engineer, decompile, scrape, or attempt to circumvent rate limits or security features.
  • Share login credentials or resell the service.
  • Upload malware or transmit spam through Patnick.

If you violate this section, we may suspend or terminate your account immediately without refund.

9. Automated fixes require approval

Patnick will never change your live website without your explicit approval of each proposed fix. You can review a diff before approval and revert any change afterwards. Patnick is not liable for the consequences of changes you approved.

10. AI-generated content (Content Lab)

The Content Lab add-on uses OpenAI to generate drafts. Every piece is reviewed and edited by Patnick's editorial team (approximately 80% human curation) before it is delivered to you, and you remain responsible for the final publication decision. AI outputs can contain errors; you should review all delivered content before it goes live.

11. Service availability

  • Our uptime target is 99.5% per calendar month (best-effort).
  • Planned maintenance is announced by email at least 72 hours in advance.
  • If unplanned downtime in a calendar month exceeds 24 hours in total, that month is credited free on your next invoice (at our discretion, the credit may also be issued as a refund).

12. Intellectual property

Patnick owns all rights, title and interest in the platform, the Patnick brand, the recommendation engine, the documentation and the user interface. We grant you a limited, non-transferable, revocable right to use the service during your subscription. Feedback you send us may be used to improve the product without compensation; we will not attribute it publicly without your consent.

13. Third-party services

Patnick integrates with third parties including Stripe, Supabase, Vercel, OpenAI, Google, Shopify, and WordPress. Your use of these services is governed by their own terms and privacy policies. Patnick is not responsible for third-party outages or policy changes.

14. Warranty disclaimer

To the maximum extent permitted by applicable law, the service is provided “as is” and “as available”without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Patnick does not warrant specific search-ranking outcomes, traffic levels or visibility in any search engine or AI system. Algorithm changes by Google, OpenAI, Anthropic or other providers are outside our control.

15. Limitation of liability

To the maximum extent permitted by applicable law, Patnick's total aggregate liability arising out of or relating to these Terms or the service is limited to the amount you paid to Patnick in the twelve (12) months immediately preceding the event giving rise to the claim. Patnick is not liable for indirect, incidental, consequential, special or punitive damages, lost profits, lost revenue, or lost data.

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under Finnish or other applicable mandatory law, including EU consumer-protection law.

16. Indemnification

You agree to indemnify and hold Patnick harmless from any claim, loss or expense (including reasonable legal fees) arising from: (a) your breach of these Terms, (b) your content or website, or (c) your unauthorised use of third-party intellectual property through the service.

17. Term and termination

  • You may cancel at any time in your account settings or via Stripe Customer Portal.
  • We may suspend or terminate an account for material breach of these Terms (with a 7-day cure opportunity where reasonable), or immediately for illegal use, fraud, or repeated Acceptable-Use violations.
  • On termination, your access ends and we delete or anonymise your data in accordance with the retention schedule in the Privacy Policy.

18. Changes to the service and these Terms

We may add, change, or remove features. We will give at least 30 days' notice by email before any material reduction to paid features; if a reduction negatively affects you, you can cancel for a pro-rated refund. Changes to these Terms take effect on the date noted at the top of this page.

19. Governing law and disputes

These Terms are governed by the laws of Finland, excluding its conflict-of-laws rules and excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

We will try to resolve any dispute informally first. Please email legal@patnick.com with the details and we will respond within 30 days.

If informal resolution fails:

  • Business (B2B) customers: disputes shall be finally settled by arbitration under the Arbitration Rules of the Finland Chamber of Commerce (FAI). Seat: Helsinki, Finland. Language: English. One arbitrator.
  • EU/EEA consumers: nothing in this clause overrides the mandatory consumer-protection rights of your country of residence. You may bring proceedings in your local courts and may use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
  • Other consumers (including US): disputes may be brought before the competent Finnish district court under the Finnish Code of Judicial Procedure, or any other court with proper jurisdiction under applicable consumer-protection law.

20. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, the Refund Policy, and the Cookie Policy, form the entire agreement between you and Patnick.
  • Severability. If any part is found unenforceable, the rest remains in force.
  • Waiver. Failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond reasonable control.
  • Notices. We notify you by email at the address on your account. You notify us at legal@patnick.com.
